Welcome to One Horse Town Studio (“One Horse Town Studio,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website and any audio production services we provide (collectively, the “Services”).
By accessing the website, requesting a quote, booking, purchasing, or using the Services, you agree to these Terms. If you do not agree, do not use the website or Services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your province/territory) to use our Services. By using our Services, you represent that you meet this requirement.
2. Services Provided
One Horse Town Studio provides professional audio production and creative services, which may include mixing, mastering, Dolby Atmos production, vocal tuning, and related services.
In addition to audio production, One Horse Town Studio also offers the following services:
• The Control Room — a subscription-based advisory service providing private access for music-related questions, feedback, guidance, and discussion. This service is consultative in nature and does not guarantee specific outcomes, approvals, or creative results.
• Artist Web Hosting — managed website hosting and technical support services for independent artists and bands. Hosting services include website infrastructure, basic maintenance, and reasonable technical assistance related to the hosted site.
All service details — including scope, deliverables, pricing, timelines, and access — are confirmed in writing through a quote, invoice, checkout process, email, or other written agreement before service begins.
3. Orders & Payment
All pricing is displayed in CAD unless otherwise stated. By placing an order, completing checkout, or subscribing to a Service, you agree to the pricing and payment terms outlined below.
Payment Requirement:
Full payment is required before any Services are delivered, scheduled, or access is granted. No work, consultation, hosting, or advisory access will begin until payment has been successfully received and confirmed.
Accepted Payment Methods:
Payments are processed securely through third-party payment providers such as Stripe, PayPal, or Interac e-Transfer (where available). One Horse Town Studio does not store full payment card details.
Subscriptions & Recurring Services:
Certain Services, including The Control Room and Artist Web Hosting, are offered on a recurring subscription basis. Subscription fees are billed in advance on the schedule shown at checkout. Access to subscription-based Services remains active while the account is in good standing.
You may cancel a subscription at any time. Cancellation prevents future billing but does not refund fees already paid for the current billing period.
Non-Refundable Payments:
All payments are non-refundable once received, including one-time services and subscription fees, except where required by applicable law. Audio production, hosting, and advisory services are time-based and capacity-based and cannot be reversed once access or work has begun.
Failure to Pay:
If payment fails, is reversed, or is not received, access to Services may be suspended or terminated, and no delivery or support obligations will exist until payment is resolved.
4. Turnaround & Revisions
Turnaround times are estimates and depend on project scope, workload, and how quickly you provide required materials and feedback. We confirm delivery expectations in writing when a project is booked.
Revisions: Unless otherwise stated in writing, your project includes minor revisions that align with the originally agreed scope. Revisions that change the scope (e.g., new direction, additional editing, new references, alternate versions) may incur additional fees and affect timelines.
Delays: If required files, instructions, approvals, or feedback are not provided on time, delivery timelines may shift accordingly.
5. Service Access & Availability
Access to advisory, community, or hosting-related Services is provided on a best-effort basis and subject to reasonable availability.
• The Control Room is not a live chat guarantee, on-demand hotline, or real-time support system. Responses are provided thoughtfully and within a reasonable timeframe.
• Artist Web Hosting includes hosting infrastructure and reasonable technical support but does not guarantee uninterrupted uptime or immediate issue resolution.
• Services may evolve, be adjusted, or updated over time to improve quality or sustainability.
6. Client Responsibilities
Provide complete, accurate project materials (audio files, stems, references, notes) in the requested format.
Confirm you own or have permission to use any material you provide (including audio, samples, stems, vocals, artwork, and written content).
Maintain backups of your project files. Unless agreed in writing, we are not responsible for long-term storage.
7. Intellectual Property
Client Materials:
You retain full ownership of all audio files, recordings, lyrics, artwork, website content, and other materials you provide. By submitting materials, you grant One Horse Town Studio a limited, non-exclusive license to use those materials solely for the purpose of delivering the agreed Services.
Final Deliverables:
Ownership of final mixed, mastered, produced, or otherwise completed deliverables transfers to you upon full payment, unless otherwise agreed in writing.
Session & Working Files:
Unless explicitly agreed in writing, One Horse Town Studio is not required to provide raw session files, DAW projects, plugin chains, intermediate files, or internal working materials.
Hosting Content:
For Artist Web Hosting services, you retain ownership of all website content. One Horse Town Studio does not claim ownership over hosted material and does not monitor content beyond what is necessary to maintain service functionality and compliance.
Credit:
Unless otherwise requested in writing, One Horse Town Studio reserves the right to list service credit (e.g., mixing, mastering, production).
For Artist Web Hosting services, clients agree to include a visible credit such as “Supported by One Horse Town Studio”, unless otherwise agreed in writing.
Portfolio Use:
Unless you request otherwise in writing, completed work or excerpts may be displayed for promotional purposes, including website portfolio and social media.
8. Prohibited Uses
You agree not to use the website or Services to:
• Upload, transmit, or distribute malware, harmful code, or attempt unauthorized access.
• Harass, abuse, threaten, defame, or violate the rights of others.
• Submit content you do not own or do not have permission to use.
• Misrepresent your identity, affiliation, or intentions.
• Abuse, exploit, or monopolize advisory, support, hosting, or access-based Services in a manner inconsistent with their intended use.
• Use Services for unlawful, deceptive, or malicious purposes.
Violation of these terms may result in immediate suspension or termination of access without refund.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available.” We make no warranties that the website or Services will be uninterrupted, error-free, or meet every expectation. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
10. Limitation of Liability
To the fullest extent permitted by law, One Horse Town Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption arising from your use of the website or Services.
Where liability cannot be excluded, our total liability will not exceed the amount you paid to us for the specific Services giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless One Horse Town Studio, its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
your materials (including copyright/sample/usage disputes),
your misuse of the Services,
your breach of these Terms.
12. Termination
We reserve the right to suspend or terminate access to our website or Services at any time if these Terms are violated, or if misuse, abusive behavior, or unlawful activity is detected.
Termination does not alter payment, ownership, or usage terms already outlined in this agreement.
13. Privacy
Your use of our website is also governed by our Privacy Policy, which explains how we collect and protect personal information.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts located in Chatham, Ontario, unless otherwise required by law.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the website or Services after changes means you accept the updated Terms.
